Rupali is a Senior Resident Partner in the Firm’s Mumbai office. She has over 20 years of experience in assisting domestic and international clients in matters relating to mergers, acquisitions, joint ventures, foreign collaboration, private equity investments, banking and finance, labour and employment and real estate laws.
Rupali regularly assists clients on high value complex M&A transactions. She has expertise in all areas of M&A practice (including stock acquisition, business/asset transfers, joint ventures, buyouts, due diligence). She has handled significant transactions in almost all sectors such as manufacturing, pharma and health, logistics, infrastructure, service, insurance etc. She has advised and assisted several multinational clients in diverse sectors on entry strategy, business formation and strategic alliances, joint ventures, corporate structuring, technology transfer, drafting and negotiating transaction documents etc. She regularly advises clients on wide range of complex issues arising out of company law, foreign exchange laws, commercial contracts and all ancillary aspects to M&A such as post acquisition advisory, entity formation, obtaining regulatory approvals, corporate secretarial matters etc. Rupali also works extensively on various kinds of commercial contracts, such as distribution, franchise, master service agreements, equipment purchase/supply agreements, vehicle leasing, trademark and copyright licenses, etc.
Rupali’s Banking & Finance experience includes advising clients on various kinds of financing documents in connection with corporate banking, retail banking, trade credits, external commercial borrowings, enforcement of security and various regulatory issues pertaining to the area. She advises various foreign funds, domestic and multinational banks and non banking financial companies in relation to various kinds of loan and security documents including inter-creditor agreements, security-trustee agreements, master risk participation agreements, RBI related advice, opening and closure of branches, procurement of licenses etc.
Her employment and labour law experience includes advising a number of domestic and international clients on all aspects of employment laws. She regularly advises and assists clients in drafting employment agreements, employee handbooks, consultancy agreements, service bonds, confidentiality and non-disclosure agreements, stock options schemes, HR related policies such as prevention of sexual harassment, leave policies, separation and release, settlement, standing orders, HR audits, compliance with employment laws, analysis of possible liabilities of the company in case of employee related dispute etc.
Her aviation sector experience includes advising airlines on various regulatory matters including DGCA. She has assisted public sector airline in purchase of aircrafts, engines and various other aircraft related components, drafting and negotiation of all kinds of aircraft leasing agreements (wet and dry lease) including sale and lease back transactions, upgrade and maintenance contracts. She has also successfully negotiated cargo and ground handling contracts on behalf of a public sector airline with various airport authorities.
Her infrastructure practice includes advising clients on infrastructure projects related to roads and bridges. She has expertise in advising client on PPP projects, drafting of tender documentation including concession agreement, legal evaluation of bidders, negotiation with bidders etc. Her recent infrastructure work includes providing legal consultancy to a public sector undertaking in Maharashtra regarding development of a Trans Harbour sea link on DBFOT basis.
Rupali regularly attends national and international conferences and has been a speaker at various forums. She has authored several articles and chapters for domestic and international magazines and other publications of international repute.
